The General Meeting of Shareholders is the supreme governing body of Imkon-Sug'urta JSC. It makes the most important strategic decisions that cannot be delegated to other governing bodies. Among other responsibilities, it approves and amends the Charter, decides on the reorganization or liquidation of the Company, elects the members of the Supervisory Board and the General Director, approves the distribution of profits and losses, and determines the amount of the authorized share capital.

Imkon-Sug'urta JSC has a single shareholder — JSCB Ipoteka-Bank. All powers of the supreme governing body are exercised by this sole shareholder.

The Supervisory Board is the governing body responsible for the overall management of the Company's activities between General Meetings of Shareholders. It is accountable to the General Meeting of Shareholders and oversees the activities of the executive body. Among other functions, it determines strategic development priorities, approves the annual business plan, organizes the internal audit function, and monitors the implementation of the Company's development strategy.

The General Director (sole executive body) manages the day-to-day operations of Imkon- Sug'urta JSC and is accountable to both the General Meeting of Shareholders and the Supervisory Board. The General Director acts on behalf of the Company without a power of attorney, represents its interests, concludes contracts, forms the staffing structure, hires and dismisses employees, ensures the implementation of the business plan and decisions of the governing bodies, and is responsible for accounting and the timely submission of statutory reports.
